AND PRIVACY POLICY

These Website Terms and Conditions of Service (these « Terms ») govern access to and use of the website, inquiry forms, booking process, travel planning services, itineraries, communications, content, and related services offered by Hela on the Nile LLC, a Delaware limited liability company (« Hela on the Nile, » « Company, » « we, » « us, » or « our »). By accessing the website, submitting an inquiry, requesting a quote, making a deposit, paying an invoice, signing a booking confirmation, participating in a trip, or otherwise using our services, you agree to be bound by these Terms.

1. Scope; Relationship to Booking Documents

These Terms apply to all visitors, prospective travelers, customers, guests, participants, and any person acting on behalf of a traveler (each, a « Guest, » « Traveler, » « you, » or « your »). These Terms are intended to be incorporated into each proposal, invoice, itinerary, booking confirmation, trip-specific terms, waiver, release, travel document, and other written or electronic communication that references them or relates to services provided by Hela on the Nile.

If a written proposal, invoice, booking confirmation, or trip-specific document states terms that differ from these Terms, the trip-specific document will control for that particular booking solely to the extent of the conflict. All other provisions of these Terms remain in effect.

2. Our Services and Role as Travel Arranger

Hela on the Nile designs, markets, coordinates, arranges, and facilitates luxury and bespoke travel experiences in Egypt and related destinations, including curated itineraries, private and small-group journeys, Nile and Lake Nasser experiences, Cairo and historic-site visits, cultural, artistic, archaeological, culinary, educational, hospitality, lodging, transportation, guide, concierge, and related travel-planning services.

Unless expressly stated otherwise in a written booking confirmation signed or issued by Hela on the Nile, we act as a travel planner, arranger, coordinator, advisor, and intermediary. We do not own, operate, control, supervise, or manage hotels, vessels, airlines, railways, motorcoaches, vehicles, restaurants, museums, archaeological sites, governmental offices, visa authorities, guides, drivers, cruise operators, local destination-management companies, carriers, attractions, suppliers, vendors, or other third-party providers (collectively, « Suppliers »). Supplier services are subject to the Supplier’s own terms, conditions, rules, tariffs, limitations, schedules, cancellation policies, liability limitations, and applicable law.

3. Eligibility; Authority to Book

You must be at least 18 years old and legally capable of entering into contracts to request, reserve, or purchase travel services. If you book for or on behalf of other Travelers, you represent that you are authorized to accept these Terms on their behalf and that you will provide these Terms and all booking materials to each Traveler. You are responsible for the accuracy of all information submitted for each Traveler, including names, dates of birth, passport information, contact information, medical or mobility disclosures, travel preferences, and special requests.

4. Inquiries, Quotes, and Custom Itineraries

Information on the website is for general informational and marketing purposes. Itineraries, availability, pricing, accommodations, vessels, guides, experiences, inclusions, and exclusions may change. A booking is not confirmed until Hela on the Nile issues a written booking confirmation or invoice and receives the required deposit or payment.

Custom proposals are prepared based on information provided by you and on then-current Supplier availability and pricing. Unless expressly stated otherwise, quotes are not guaranteed until deposit is received, Supplier space is secured, and confirmation is issued. Currency fluctuations, taxes, government fees, fuel surcharges, Supplier changes, and availability may affect final pricing.

5. Deposits, Payments, Late Payments, and Pricing

Deposit and final payment requirements will be stated in the applicable proposal, invoice, or booking confirmation. Unless a different amount is stated in the applicable booking documents, a non-refundable deposit of US$600 per person is required to reserve a trip. Certain custom arrangements, private vessels, hotels, holiday periods, special permits, air tickets, or Supplier services may require higher or additional non-refundable deposits.

Unless a different deadline is stated in the applicable booking documents, the remaining balance is due no later than 120 days before the scheduled departure or service start date. If payment is not received by the due date, Hela on the Nile may assess late fees, cancel the booking, release Supplier space, retain non-refundable deposits, and require payment of any Supplier penalties, administrative costs, or price increases required to reinstate the booking.

All prices are stated in U.S. dollars unless otherwise indicated. Prices may exclude airfare, travel insurance, visas, passport fees, vaccinations, tips, meals not specified, beverages, optional excursions, personal expenses, excess baggage, credit-card or wire fees, bank charges, currency conversion costs, taxes, government fees, and items not expressly listed as included.

6. Cancellations by Traveler; Refunds; Credits

Cancellations must be submitted in writing to Hela on the Nile and are effective only when received by us during normal business hours. The cancellation date is the date on which Hela on the Nile receives written cancellation notice, not the date on which the Traveler sends the notice if the notice is incomplete, misdirected, or not received.

Unless a different cancellation policy is stated in the applicable booking documents, the following cancellation schedule applies to the land and arranged travel services booked through Hela on the Nile:

Refunds, if any, will be processed only after Hela on the Nile receives any refundable amounts from applicable Suppliers. Supplier cancellation penalties may be more restrictive than the general schedule above and may eliminate or reduce any refund. Administrative, planning, consultation, credit-card, wire, bank, insurance, visa, permit, and other non-recoverable fees are not refundable unless expressly stated otherwise in writing.

Travel credits, if offered, are discretionary unless required by law or expressly stated in the applicable booking documents. Credits are not cash, are not transferable unless we agree in writing, may be subject to expiration, Supplier restrictions, price increases, availability, and additional terms, and may be forfeited if not used as stated.

7. Changes by Traveler

Requests to change names, dates, accommodations, activities, itinerary elements, group size, rooming, or other booking details must be made in writing. Changes are subject to availability, Supplier approval, price increases, administrative fees, and any Supplier charges. Hela on the Nile is not obligated to make requested changes and is not responsible if Suppliers decline changes or impose penalties.

8. Changes, Substitutions, and Cancellations by Hela on the Nile or Suppliers

Travel services depend on weather, safety, navigation, governmental permissions, site access, Supplier availability, local conditions, transportation, health conditions, security, and other circumstances. Hela on the Nile and its Suppliers may modify itineraries, accommodations, vessels, guides, timing, routes, activities, transportation, meals, or experiences when necessary or advisable, including to protect safety, respond to Supplier changes, preserve trip quality, address force majeure, comply with law, or respond to events beyond our control.

If a material service becomes unavailable, we may provide a reasonable substitute, refund amounts actually recovered from Suppliers, offer a credit, or take another commercially reasonable approach. Hela on the Nile is not responsible for expenses you incur because of changes, including airfare, hotels, meals, visas, vaccinations, lost wages, replacement services, or other incidental or consequential costs.

9. Travel Documents, Passports, Visas, and Entry Requirements

You are responsible for obtaining and carrying all required passports, visas, permits, health documents, vaccination records, parental/minor travel authorizations, and other documents required for your itinerary and for ensuring that all documents are valid for the required period. For Egypt travel, Travelers generally should carry a passport valid for at least six months beyond the return date and should confirm visa requirements before travel. Hela on the Nile may provide general guidance or facilitate certain steps, but final responsibility for compliance rests with each Traveler.

Hela on the Nile is not responsible for denied boarding, denied entry, delays, fines, penalties, deportation, quarantine, missed services, cancellation, or other losses resulting from incomplete, inaccurate, expired, insufficient, or missing travel documents or from changes in governmental requirements.

10. Health, Fitness, Accessibility, and Medical Matters

Travel in Egypt may involve walking, uneven surfaces, stairs, heat, boats, vehicles, crowded areas, rural areas, variable infrastructure, archaeological sites, and limited access to rapid medical care. By booking or participating, each Traveler represents that the Traveler is physically and medically able to participate in the itinerary and has consulted appropriate medical professionals regarding health, mobility, medications, vaccinations, allergies, pregnancy, disability, and travel risks.

You must disclose any physical, medical, dietary, mobility, cognitive, accessibility, or other condition that may affect your participation or require accommodation. We will use reasonable efforts to communicate requests to Suppliers, but accommodations cannot be guaranteed. Hela on the Nile may decline or remove a Traveler from a trip if, in our reasonable judgment, the Traveler cannot safely participate, requires care beyond what we or Suppliers can provide, poses a risk to others, or materially disrupts the trip. In such cases, cancellation fees and Supplier policies apply.

11. Traveler Conduct; Removal from Trip

Travelers must act respectfully, comply with laws and site rules, follow safety instructions, respect cultural norms, and avoid conduct that is abusive, threatening, discriminatory, unsafe, illegal, intoxicated, disruptive, or harmful to other Travelers, Suppliers, local communities, guides, or staff. Hela on the Nile may refuse service, remove a Traveler, or terminate participation without refund if a Traveler violates these Terms or creates risk, disruption, or legal exposure. The removed Traveler is responsible for all resulting costs, including lodging, meals, transportation, medical care, alternative arrangements, and return travel.

12. Assumption of Risk

International travel and experiential travel involve inherent and unexpected risks, including illness, injury, death, emotional distress, delay, inconvenience, property loss, theft, crime, terrorism, civil unrest, governmental actions, strikes, weather, natural disasters, road conditions, transportation failures, water travel, food or water illness, animals, insects, infectious diseases, epidemics, pandemics, insufficient medical care, Supplier negligence, and conditions outside ordinary daily life. You knowingly and voluntarily accept these risks and agree that the price of the trip reflects, in part, your acceptance of these Terms, including limitations of liability and assumption of risk.

13. Third-Party Suppliers; No Responsibility for Supplier Acts

Hela on the Nile is not responsible for the acts, omissions, negligence, willful misconduct, delays, defaults, representations, warranties, financial failure, bankruptcy, insolvency, overbooking, schedule changes, cancellations, service changes, or safety practices of any Supplier or other third party. Suppliers are independent contractors and not employees, agents, partners, joint venturers, or representatives of Hela on the Nile.

Any claims relating to Supplier services may also be subject to Supplier terms, local law, international conventions, tariffs, tickets, passenger contracts, venue provisions, liability limitations, and notice requirements. You agree to comply with Supplier terms and to look first to the responsible Supplier for Supplier-caused issues, except to the extent applicable law provides otherwise.

14. Travel Insurance

Hela on the Nile strongly recommends that each Traveler purchase comprehensive travel insurance promptly after booking, including trip cancellation, trip interruption, medical, emergency evacuation, baggage, delay, and supplier default coverage where available. Some coverages, including pre-existing condition waivers or cancel-for-any-reason coverage, may be available only if purchased within a limited period after initial deposit. We do not provide insurance advice unless separately licensed or expressly agreed in writing, and Travelers are responsible for reviewing policy terms, exclusions, limits, and claims procedures.

15. Air Travel and Independent Arrangements

Unless expressly included in a written booking confirmation, international airfare, domestic airfare, airport transfers, pre-trip and post-trip accommodations, meals, and independent arrangements are not included. We are not responsible for air schedule changes, missed connections, baggage issues, airline cancellations, strikes, denied boarding, or expenses related to independent arrangements. Travelers should not book non-refundable flights or independent arrangements until the trip is confirmed and should allow adequate connection and buffer time.

16. Force Majeure

Hela on the Nile will not be liable for any failure, delay, change, cancellation, interruption, expense, injury, damage, loss, or inconvenience caused by events beyond its reasonable control, including acts of God, weather, flooding, drought, natural disasters, fire, pandemics, epidemics, public health emergencies, quarantine, border closures, governmental orders, war, terrorism, civil unrest, strikes, labor disputes, transportation disruptions, supplier failure, vessel or vehicle breakdown, utility failure, cyber incidents, currency restrictions, sanctions, archaeological site closures, permit denials, political conditions, or any similar event. In such cases, Hela on the Nile may modify, postpone, cancel, substitute, or reschedule services, and refunds or credits, if any, will depend on amounts recovered from Suppliers and applicable law.

17. Payments, Chargebacks, and Fraud Prevention

You agree to provide accurate payment information and authorize Hela on the Nile or its payment processors to charge approved amounts. You agree not to initiate a chargeback or payment dispute for charges that are consistent with these Terms, the booking documents, or services provided or reserved on your behalf. Before initiating any payment dispute, you agree to contact Hela on the Nile in writing and allow a reasonable opportunity to address the issue. We may require identity verification, beneficial ownership information, fraud screening, or other compliance information before accepting payment or confirming services.

18. Website Use; Intellectual Property

The website and all text, photographs, videos, itineraries, descriptions, designs, logos, trademarks, service marks, trade names, graphics, downloads, and other content are owned by or licensed to Hela on the Nile and are protected by intellectual property laws. You may use the website for personal, non-commercial trip inquiry and booking purposes only. You may not copy, reproduce, scrape, republish, modify, distribute, exploit, frame, mirror, or create derivative works from website content without our prior written consent.

19. User Submissions; Testimonials; Reviews; Media

If you submit inquiries, reviews, testimonials, photographs, videos, comments, feedback, itinerary preferences, or other content, you grant Hela on the Nile a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, reproduce, display, publish, translate, edit, and distribute such content for business, marketing, customer service, and operational purposes, subject to our Privacy Policy and applicable law. You represent that you have the right to provide such content and that it does not violate the rights of others.

During trips, photographs or videos may be taken for operational, documentary, or promotional purposes. If you do not want your identifiable image used in public marketing materials, you must notify us in writing before the trip and remind the trip leader or guide at the beginning of the trip. We will use reasonable efforts to honor such requests but cannot control photographs taken by other Travelers, Suppliers, media, public venues, or third parties.

20. Privacy and Data Protection

Our collection, use, sharing, retention, and protection of personal information are described in the Privacy Policy included below. By using the website or services, you acknowledge the Privacy Policy. Travel services often require the transfer of personal information to Suppliers, payment processors, governmental authorities, visa providers, insurers, booking platforms, and other parties in the United States, Egypt, France, and other jurisdictions involved in the itinerary.

21. No Professional Advice

Information provided by Hela on the Nile may include general travel, cultural, historical, logistical, health, visa, safety, or practical information. Such information is not legal, medical, tax, immigration, insurance, financial, or security advice. Travelers should consult qualified professionals and official sources before making decisions.

22. Disclaimer of Warranties

To the fullest extent permitted by law, the website, content, proposals, and services are provided on an « as is » and « as available » basis. Hela on the Nile disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, uninterrupted operation, and error-free service. We do not warrant that the website will be secure, uninterrupted, or free from viruses or harmful components.

23. Limitation of Liability

To the fullest extent permitted by law, Hela on the Nile and its members, managers, officers, employees, agents, representatives, contractors, affiliates, successors, and assigns will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or similar damages, including lost profits, lost opportunities, emotional distress, inconvenience, loss of enjoyment, replacement travel, or business interruption, even if advised of the possibility of such damages.

To the fullest extent permitted by law, Hela on the Nile’s aggregate liability arising out of or relating to the website, any booking, any trip, or these Terms will not exceed the amount of fees actually paid by you directly to Hela on the Nile for the specific services giving rise to the claim, excluding amounts paid or payable to Suppliers, taxes, governmental fees, insurance, and pass-through costs. This limitation does not apply to liability that cannot be limited under applicable law.

24. Indemnification

You agree to indemnify, defend, and hold harmless Hela on the Nile and its members, managers, officers, employees, agents, representatives, contractors, affiliates, successors, and assigns from and against claims, demands, losses, liabilities, damages, judgments, penalties, fines, settlements, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your breach of these Terms, inaccurate information, violation of law, misconduct, property damage, injury to others, chargebacks, or claims brought by Travelers or third parties for whom you booked or provided information.

25. Governing Law; Arbitration; Class Action Waiver; Jury Trial Waiver

These Terms and any dispute, claim, or controversy arising out of or relating to the website, services, booking, trip, or relationship between you and Hela on the Nile are governed by the laws of the State of Delaware, without regard to conflict-of-law rules, except to the extent preempted by federal law or nonwaivable consumer law.

To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms, the website, services, booking, trip, or relationship between you and Hela on the Nile shall be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable. The arbitration shall be conducted in English. Unless the parties agree otherwise, the legal seat of arbitration shall be Delaware, and hearings may be conducted remotely by video or telephone when permitted by the arbitrator and applicable rules.

Either party may bring an individual claim in small claims court if the claim qualifies. Either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction to protect intellectual property, confidential information, or personal data, or to preserve the status quo pending arbitration.

You and Hela on the Nile agree that disputes must be brought only on an individual basis and not as a plaintiff, class member, private attorney general, or representative in any class, collective, consolidated, or representative proceeding. To the fullest extent permitted by law, you and Hela on the Nile waive the right to a jury trial. If the class action waiver is found unenforceable as to a particular claim, that claim shall proceed in court and not in arbitration, and the remaining arbitrable claims shall be arbitrated.

26. Venue for Non-Arbitrable Claims

For any claim not subject to arbitration, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware, unless a nonwaivable consumer law requires otherwise. Each party waives any objection based on inconvenient forum or lack of personal jurisdiction to the fullest extent permitted by law.

27. Changes to Terms

Hela on the Nile may update these Terms from time to time by posting revised Terms on the website or otherwise providing notice. The updated Terms apply prospectively as of the effective date stated in the updated Terms, except that existing bookings remain subject to the Terms and booking documents in effect at the time of booking unless the parties agree otherwise or the update is required by law or Supplier requirements.

28. Severability; No Waiver; Entire Agreement

If any provision of these Terms is found invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable or severed if modification is not permitted, and the remaining provisions will remain in effect. No waiver is effective unless in writing. These Terms, together with the applicable booking documents and Privacy Policy, constitute the agreement between you and Hela on the Nile regarding the website and services.

  • to respond to inquiries, prepare quotes, design itineraries, and communicate with you;
  • to process bookings, deposits, invoices, refunds, credits, and payment-related issues;
  • to arrange travel services with Suppliers, including hotels, vessels, guides, transportation providers, destination-management companies, restaurants, cultural sites, visa providers, insurers, and other travel partners;
  • to provide customer service, trip support, emergency assistance, and administrative communications;
  • to personalize travel planning, including preferences, accessibility, dietary, health, and mobility information that you choose to provide;
  • to send newsletters, travel inspiration, offers, and marketing communications where permitted and subject to your opt-out rights;
  • to operate, secure, improve, and analyze the website and services;
  • to detect, prevent, and respond to fraud, chargebacks, security incidents, misuse, legal claims, and violations of terms;
  • to comply with legal, tax, accounting, regulatory, immigration, sanctions, consumer protection, and recordkeeping obligations;
  • to protect the rights, safety, and property of Hela on the Nile, Travelers, Suppliers, and others; and
  • to conduct ordinary business operations, including bookkeeping, auditing, insurance, legal, compliance, and corporate administration.

4. Sensitive Personal Information

Travel services may require information that can be sensitive, such as health, dietary, allergy, mobility, accessibility, passport, visa, or emergency contact information. We use such information to arrange services, communicate with Suppliers, address safety and accessibility needs, comply with legal requirements, and provide trip support. We do not use sensitive personal information to infer characteristics except as necessary to provide requested services, with your consent, or as permitted by law.

5. How We Disclose Personal Information

We may disclose personal information to the following categories of recipients:

  • Suppliers and travel partners, including hotels, vessels, guides, transportation providers, destination-management companies, restaurants, cultural sites, visa providers, insurers, and other parties needed to arrange or provide travel services;
  • payment processors, banks, merchant-services providers, fraud-prevention vendors, and financial institutions;
  • technology providers, website hosts, email service providers, analytics providers, customer relationship management tools, cloud storage providers, and business software vendors;
  • professional advisors, including attorneys, accountants, tax advisors, insurance brokers, auditors, consultants, and compliance providers;
  • governmental authorities, law enforcement, courts, regulators, immigration or visa authorities, customs authorities, and tax authorities where required or appropriate;

By using our services, you understand that information may be shared internationally with Suppliers and service providers as necessary to provide travel services and conduct our business, subject to applicable law.

10. Data Retention
